These Terms of Service ("Terms") govern your access to and use of the 1000471042 Ontario Inc. (o/a Acolyte-Ai) software platform (the "Service") provided by 1000471042 Ontario Inc. (o/a Acolyte-Ai) ("we", "us", "our"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is a business-to-business software platform for licensed mortgage brokers and their invited partners and clients. It provides tools such as mortgage qualification and underwriting calculations, income analysis, refinance-opportunity monitoring, client and partner collaboration, and a companion mobile application. The Service is a productivity tool only — it does not provide financial, legal, or lending advice, and it does not originate, approve, or fund mortgages.
You agree not to: use the Service unlawfully or to violate the rights of others; upload information you are not authorized to share; attempt to gain unauthorized access to the Service or other users' data; reverse-engineer, resell, or sublicense the Service except as expressly permitted; or interfere with the Service's operation or security.
If you input or upload information about your clients or other individuals, you represent that you have the necessary authority and consents to do so, and that you will handle that information in compliance with applicable privacy laws. Our handling of information is described in our Privacy Policy, which is incorporated into these Terms.
The Service, including its software, design, content, and underlying data compilations (such as lender-policy information), is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data you input; you grant us a license to process it solely to provide the Service.
The Service relies on third-party providers (including Stripe for payments, Supabase for hosting, and an AI provider for certain features). Your use of those features is also subject to those providers' terms, and we are not responsible for their acts or omissions.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Calculations and outputs (including AI-assisted results) are estimates provided for convenience and may contain errors; you are responsible for independently verifying all figures and decisions before relying on them. We do not warrant that the Service will be uninterrupted or error-free.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.
You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. Provisions that by their nature should survive termination (e.g. intellectual property, disclaimers, limitation of liability) will survive.
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above, and your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Ontario will have jurisdiction over disputes, subject to any mandatory consumer-protection rights you may have.
